Closed Playtest Agreement

Version 0.1 · last updated 1 October 2026

DRAFT — not legal advice — pending legal review. This text is not in force yet and may change before the playtest opens.

This agreement is between Sleepless Games Studios LLC ("Sleepless", "we", "us") and you, the person signing up for the Undercarrier closed playtest with a Sleepless Games account. You accept it by ticking the box on the sign-up page. We store the version you accepted and the date and time you accepted it.

The short version: you must be 18 or older. Builds are early, unfinished and only lent to you. Don't share them, or footage, screenshots or details, until we say the playtest is public. We can use your feedback. We can end your access at any time, and you can leave at any time.

1. Who can take part

  1. You must be at least 18 years old. Undercarrier contains graphic violence and gore, and a minor can't accept this agreement. If we learn that a tester is under 18, we remove them and delete their sign-up.
  2. You need a Sleepless Games account in your own name. One account per person. The details you give us (including your hardware) must be accurate.
  3. Signing up puts you on a waitlist. It does not guarantee an invitation. Waves are small, and we pick people to fill gaps in the hardware we've tested, not in sign-up order.

2. What you get, and what you don't

  1. If we invite you, we give you a personal, limited, non-exclusive, non-transferable, revocable right to download, install and play the playtest builds we send you, on your own devices, only to test the game and give us feedback, for as long as the playtest or your wave lasts.
  2. Download links are personal and expire. Each build may carry a marker that identifies the wave it was sent to.
  3. A playtest build is not a bought copy. Our promise that a bought copy of a Sleepless game is yours to keep (see our Terms) covers retail copies you buy. It does not cover playtest builds, which we lend to you and can take back. Taking part does not give you a retail copy or a Steam key unless we tell you so in writing.
  4. We own Undercarrier and everything in it. Except for the right in 2.1, this agreement gives you no rights in the game, our trademarks or any other part of our intellectual property.

3. Keep it confidential

  1. "Confidential information" means the playtest builds and download links, and everything you learn from them or from us during the playtest: gameplay, levels, story, characters, art, audio, features, performance, bugs, and what we tell you in playtest emails, posts or channels.
  2. Until the confidentiality period ends, you must not share confidential information with anyone outside the playtest. In particular you must not:
    • share, upload or pass on a build, a download link or your account access;
    • stream, record or publish video, screenshots or audio of a build;
    • post or tell anyone details of the game that we haven't made public.
    You may talk about the build with us and with other testers in the playtest channels we give you (for example the in-game FEEDBACK button or a private forum category).
  3. If the invitation for your wave says something is allowed (for example, streaming a particular build), that permission applies to that wave and that build only, and only within its stated limits.
  4. The confidentiality period ends on the earliest of:
    • the date Sleepless publicly announces that the closed playtest is no longer confidential;
    • the public release of Undercarrier in Steam Early Access, or its full release; or
    • for a particular build, the date that same build is offered to the public (for example as a public demo or an open Steam Playtest).
    Anything we publish ourselves (for example on Undercarrier's Steam store page, in a trailer or on this website) stops being confidential once it is published. Unreleased builds and your own footage stay confidential until the period ends.
  5. This section does not stop you sharing information that was already public through no fault of yours, or that the law requires you to disclose. If the law requires it, tell us first where you're allowed to.

4. Your feedback

  1. "Feedback" means anything you send us about the game: bug reports, in-game FEEDBACK reports (with any screenshots or logs they attach), survey answers, ideas and suggestions.
  2. You grant Sleepless Games Studios LLC a worldwide, perpetual, irrevocable, royalty-free licence, which we may transfer and sublicense, to use, copy, change, publish and build your feedback into our games and other products, for any purpose, without paying you or naming you. We don't have to use it.
  3. Only send feedback you have the right to give us. Don't send anything that belongs to someone else or that you've promised to keep secret.

5. Things you must not do

  1. Copy, sell, rent, lend, share or redistribute a build, or any part of it.
  2. Reverse engineer, decompile, disassemble, data-mine or unpack a build, or try to extract or publish unreleased content, except where the law expressly allows it despite this restriction.
  3. Get around download limits, expiry dates, account checks or any other access control.
  4. Cheat in, or attack, any online part of the game or our services, or use tools that do.
  5. Harass other testers or our team. The forumrules apply in playtest channels.

6. Data the playtest uses

We use your sign-up details (your name, account email, country, hardware answers and preferences) to run the waitlist, pick waves and contact you. The builds can send crash reports and the FEEDBACK reports you choose to send. The hardware survey follows the choice you make on the sign-up form and in the game; in the EEA, the UK and Switzerland it stays off unless you turn it on. Details, retention and how to delete your data are in theprivacy policy.

7. Pre-release software: no warranty

  1. Playtest builds are unfinished. They use placeholder art and audio, contain bugs, may crash, may lose your progress and may change or disappear completely. Back up anything important before you install a build.
  2. To the fullest extent the law allows, builds are provided "as is", without warranties of any kind, and Sleepless is not liable for any indirect or consequential loss, or for any loss above[US$50 — amount pending legal review], arising from the playtest.
  3. Nothing in this agreement limits rights you have under consumer protection law that can't be limited by contract, or our liability for death or personal injury caused by negligence, or for fraud.

8. Leaving and ending

  1. You can leave at any time on your account's Playtest page.
  2. We can end your access, a wave or the whole playtest at any time and for any reason, including a breach of this agreement. Your download links stop working when we do.
  3. When your access ends, stop using the builds and delete every copy you have.
  4. Sections 2.3, 2.4, 3, 4, 5, 7 and 9 continue to apply after you leave. Section 3 lasts until the confidentiality period ends.
  5. If you break this agreement, we can remove you from the playtest and future playtests and use any remedy the law gives us, including asking a court to stop a leak.

9. Governing law

This agreement is governed by the laws of the State of Colorado, USA [placeholder — pending legal review], without regard to its conflict-of-laws rules. The courts of [county], Coloradohave jurisdiction, except where the consumer law of the country you live in gives you the right to bring a claim in your own courts.

10. Changes to this agreement

We may update this agreement, for example for a new wave. Each version has a number. If we change it, we will ask you to accept the new version before you get further builds. The version you accepted keeps applying to the builds you already received.

This agreement sits alongside our Terms and Conditions and Privacy Policy. If they conflict about the playtest, this agreement wins.
